Please read these terms carefully before using CanopyLink

Introduction

Welcome to CanopyLink. CanopyLink ("CanopyLink," "we," "us," "our") is an online genealogical tree-building platform that allows users to create "Projects" where they can build family trees, add external source links and citations, and link genetic relatives through common ancestors (collectively, "features"). By using CanopyLink, you agree to these terms and conditions ("terms"), which also incorporates our Privacy Policy. If you do not agree to these terms, you may not use CanopyLink.

Eligibility to Use CanopyLink

By registering an account and using CanopyLink, you agree:

  • That you are at least 18 years old;
  • To comply with all applicable laws;
  • Not to circumvent or interfere with any security-related features of CanopyLink;
  • To contact us if your account has been used without your authorization.

CanopyLink Content

CanopyLink features created by us are owned and controlled by CanopyLink and protected by national (within the United States) and international intellectual property law. All CanopyLink names, logos, and designs are property of CanopyLink and require permission to use.

External Content

CanopyLink allows users to link and cite content from external websites and other external sources. CanopyLink is not responsible for the content, accuracy, or stability of any links or citations to external content. It is your responsibility to read any terms for external resources that you choose to link or cite in CanopyLink.

Your Content

In building out Projects, users create their own content within CanopyLink in the form of family trees, notes, and links or citations to sources. Your content includes any content pulled into CanopyLink if you upload a GEDCOM. CanopyLink does not claim any ownership rights in your content or control how you share your content with others.

You are responsible for all content you create in CanopyLink. By using CanopyLink, you agree that you have the legal right to create your content. If any of your content is reported to CanopyLink and contains threats of physical harm, child exploitation, or other illegal material, CanopyLink will remove the content and, if necessary, report the content to relevant authorities.

To help improve CanopyLink, we may use de-identified versions of your Projects. We will never view any names of Projects or names of individuals in family trees (unless you have agreed to provide identified trees to us to help improve features). De-identified Projects will retain the following information for individuals in family trees: (i) dates of birth and death; (ii) locations of birth and death; (iii) relationships to other individuals in the family tree.

You may download your content at any time using a GEDCOM or other format.

No Guarantees or Warranties

CanopyLink features are offered "AS-IS," and CanopyLink provides no guarantees or warranties to the accuracy or usefulness of its features. We disclaim all warranties, express or implied, to the maximum extent permitted by law. While we are always working to improve CanopyLink features, we make no promises about the functionality of CanopyLink or that the site will be free of viruses or other damaging materials.

Limited Liability

You agree that our liability is limited to the fullest extent allowed by law. Your sole remedy for dissatisfaction with CanopyLink is to cancel your account. Our liability is limited to the amount you have paid for your CanopyLink subscription in the past twelve (12) months.

Payments, Subscriptions, and Refunds

CanopyLink offers both free and paid subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are charged in advance on a monthly or annual basis and are non-refundable except as described below.

Refund Policy: If you are not satisfied with your paid subscription, you may request a full refund within seven (7) days of your initial purchase or renewal. After seven (7) days, no refunds will be issued. To request a refund, please contact us at support@canopylink.org.

Cancellation: You may cancel your subscription at any time. Upon cancellation, your paid features will remain active until the end of your current billing period, after which your account will revert to the free plan. No partial refunds will be issued for unused portions of a billing period beyond the seven (7) day refund window.

Price Changes: We reserve the right to change our subscription pricing at any time. Any price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of any pricing changes.

Indemnity

You agree to indemnify us from any claims, liabilities, damages, judgements, awards, losses, costs, fees, or other expenses that result from your use of CanopyLink. This includes any claims, demands, actions, or suits related to content you create or link/cite in CanopyLink. You further agree that this indemnification obligation will continue even if you stop using CanopyLink.

Arbitration and Class Action Waiver for Users in the United States

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR RIGHT TO FILE LAWSUITS.

Before seeking formal adjudication of any dispute, you agree to contact us and try to resolve the dispute informally. If a dispute—defined as broadly as legally permissible—cannot be resolved informally, unless prohibited by law, you and CanopyLink agree the dispute will be resolved through final and binding arbitration. Arbitration is a manner of resolving a dispute without filing a lawsuit. As such, you and CanopyLink agree to waive the right to a trial by jury, unless prohibited by law. This means that rights you would have by going to court, such as discovery or the right to appeal, may be more limited or not exist at all. You agree that this arbitration provision is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16.

This arbitration agreement does not apply in two scenarios: (i) disputes filed in any small claims court with personal and subject matter jurisdiction over the parties; (ii) intellectual property rights infringement claims.

Along with arbitration, you also agree only to seek dispute resolution with CanopyLink in your individual capacity and not as a plaintiff or class member in class-action lawsuit. This includes your agreement that arbitrators may not consolidate proceedings or disputes involving more than one CanopyLink user.

Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these terms or CanopyLink must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

Governing Law and Jurisdiction

For users who access CanopyLink in the United States, any dispute or claim related to your use of CanopyLink will be governed by the laws of the State of Texas. For users who access CanopyLink outside of the United States, the laws of Ireland govern these terms.

European Union and UK Users

Users in the European Union are entitled to bring any judicial proceedings related to these terms before the competent court of your place of residence.

Users in the United Kingdom are entitled to bring any judicial proceedings relating to these terms before the competent court of England and Wales.

Entire Agreement

These terms are the entire agreement between you and CanopyLink.

Severability

If any of these terms are found unenforceable, it will not affect the enforceability of the remaining terms.

No Waiver

We do not waive our rights under the provisions of these terms if we do not enforce them.

Modifications to Terms

We reserve the right to change these terms. If we change the terms, you will be given thirty (30) days' notice. If you retain your CanopyLink account after those thirty days, you will be bound by the new terms. If you do not agree to the new terms after thirty days, you must stop using CanopyLink.
